Shares in News International P.L.C., the British newspaper publisher, soared yesterday after its stockholders were offered preferred shares in its parent company, the News Corporation, in exchange for their 9 percent stake. The News Corporation, headed by Rupert Murdoch, already owns all the ordinary stock of News International and 82 percent of the publicly traded special dividend shares of the subsidiary. After the exchange, News Corporation will own all the shares in News International and the unit will cease to trade.

Rupert Murdoch, the media entrepreneur, announced plans yesterday to start a 100-channel digital broadcasting system in Japan within two years. Mr. Murdoch said his company, the News Corporation, would produce and supply only a handful of the channels, leaving most for Japanese programmers. Only 3 million households in Japan receive cable television, compared with about 60 million in the United States. Also, 7.4 million Japanese households receive two satellite channels offered by the public broadcaster NHK. Digital technology lets a satellite transmit many channels, with better picture quality than conventional analog TV. (AP)

FOAMEX INTERNATIONAL TO SELL ITS PERFECT FIT UNIT

Foamex International Inc. said yesterday that it had agreed to sell its Perfect Fit Industries unit to an investment group and Perfect Fit management for $50 million. Foamex, a chemical company based in Linwood, Pa., said it planned to take a $38 million charge in the second quarter and restate its loss in the 1995 fiscal year to $1.73 a share from the previously reported $2.01. Perfect Fit, a maker of home furnishings, had sales of $98.5 million in 1995.

Circuit City Stores Inc. said yesterday that it would open 8 to 10 Carmax used-car dealerships next year and that it planned to operate 80 to 90 of the so-called superstores by 2001, up from 5 now. The company, which also operates the Circuit City electronics stores, said it planned to open Carmax dealerships next year in Miami, Houston and Dallas-Fort Worth. Shares of Circuit City rose 87.5 cents, to $36.25.

CULBRO IS SELLING ITS LABELING AND PACKAGING BUSINESS

The Culbro Corporation agreed yesterday to sell its labeling and packaging business. Culbro did not disclose the sale price for the unit, CMS Gilbreth Packaging Systems Inc., which had revenue of $51 million in 1995. The buyer is an undisclosed United States investor group operating in the specialty labels and packaging industries. Net proceeds of the sale are expected to be ''somewhat over book value,'' Culbro, which is based in Manhattan, said. Culbro expects to use the proceeds of the sale to pay down debt and invest more in its cigar business, A. Ross Wollen, general counsel of the company, said.

IAT GROUP OF CHILE TO BUY FRESH DEL MONTE

The IAT Group of Chile has agreed to buy Fresh Del Monte Produce N.V. for $534 million in cash, equity and assumed debt from Mexico's Grupo Empresarial Agricola Mexicana, company officials said yesterday. Fresh Del Monte, based in Coral Gables, Fla., is the third-largest producer of fresh bananas and the largest marketer of fresh pineapples. IAT is a closely held Chilean fresh fruit producer that sells grapes, plums and peaches. Fresh Del Monte was once a part of the Del Monte Foods Company, the largest fruit and vegetable canner in the United States. Since the 1970's, however, Fresh Del Monte has passed through several owners.

Broker Settles In Gibson Case

Gary S. Missner, a former broker at a unit of the Bankers Trust New York Corporation, agreed today to pay $100,000 to settle Federal charges stemming from the sale of derivatives securities to Gibson Greetings Inc. The Securities and Exchange Commission said it had issued a cease-and-desist order and had also barred Mr. Missner from the securities industry for five years. Mr. Missner neither admitted nor denied guilt in settling the commission charges and in a separate settlement with the Federal Reserve.

Copper Plunges on Worries Of Possible Big Sales in Japan

Copper prices tumbled yesterday as a market already nervous about supply was roiled by speculation that a management change at a big Japanese trading company could lead to a selloff of its copper holdings. Traders said that rumors that Yasuo Hamanaka, the chief copper trader at the Sumitomo Corporation, had resigned sent copper prices plunging. Traders were betting that the company would sell its copper positions, said Wolfgang Becker, a trader at Iceni Commodities Brokerage in Hamburg, Germany.
