It is 6 A.M. on Nelson Mandela's birthday, and "Good Morning South Africa" is on the air. The hosts -- two men, one black, one white -- wear ties bearing the President's smiling face, and take turns greeting the audience in English and Afrikaans. Over on the news desk, a black woman and a white man deliver the day's top story, again switching in and out of the two languages. Taped interviews take place in a variety of languages. Later two more news anchors reintroduce the same stories, this time in Sotho and Zulu.

SEARS CHAIRMAN TO RETIRE IN AUGUST

Sears, Roebuck & Company said yesterday that Edward A. Brennan, chairman and chief executive, would retire Aug. 9 and be succeeded by Arthur Martinez, head of Sears's retailing unit. James Denny, vice chairman, will also retire Aug. 9, after a Sears board meeting. The retirements were first announced in November when the retailer said it would spin off its 80 percent stake in the Allstate Corporation to shareholders. It said then the two executives would retire after the spinoff, which Sears completed in June.

BIOCHEM CALLS OFF TAKEOVER NEGOTIATIONS

Biochem International Inc. said yesterday that its talks to be acquired by John J. McDonough had been terminated because both sides could not agree on acceptable terms. In May, the board of Biochem, based in Waukesha, Wis., a maker of patient monitoring systems, agreed to the acquisition by a company controlled by Mr. McDonough for about $66 million. Under the letter of intent, Mr. McDonough, through the unspecified company, would have acquired all of Biochem's common shares in a cash transaction valued at $5 a share. Mr. McDonough is the founder and former chief executive of Dentsply International Inc. of York, Pa., which designs, makes and distributes medical X-ray systems.

WELLPOINT AND HEALTH SYSTEMS MERGER QUESTIONED

An important California regulator has raised questions about a proposed merger between Wellpoint Health Networks Inc. and Health Systems International Inc. The two companies said on April 3 that they had agreed to merge in a stock swap that was valued at the time at $1.9 billion. The state's authority in the merger stems from its regulatory power over nonprofit Blue Cross of California , which owns 80 percent of Wellpoint. In a letter sent to the directors of Blue Cross, Gary S. Mendoza, the state's Commissioner of Corporations, said the state had "serious concerns" that Blue Cross was ceding its "controlling interest" in Wellpoint stock without any extra compensation. In the letter, Mr. Mendoza did not set a deadline for the changes and information the state wants, and said the issues could be "addressed and resolved" in a way that would not delay the proposed merger.

AMERICAN MAIZE GETS UNSOLICITED BID FOR UNIT

The American Maize-Products Company has received an unsolicited bid of $225 million for its tobacco unit. The bid, by Usaha Tegas, a closely held Malaysian company that had once sought control of American Maize, could create a stumbling block for Eridania Beghin-Say S.A. of Paris, which earlier this month said it had reached an agreement to buy American Maize. Usaha Tegas, which disclosed its bid in a Securities and Exchange Commission filing on Monday, would combine its National Tobacco Company with American Maize's Swisher International Inc. Usaha Tegas holds a 16.2 percent stake in American Maize, which is based in Stamford, Conn.

CASE TO SELL SHARES OWNED BY TENNECO TO THE PUBLIC

The Case Corporation said yesterday that it would file with the Securities and Exchange Commission to sell 9 million of its 71 million outstanding shares to the public. Case, based in Racine, Wis., a maker of agricultural and construction equipment, said the shares are owned by Tenneco Inc., which is expected to reduce its stake in Case to about 31 percent from about 44 percent. Case said it might file to increase the offering to 14 million shares. On the New York Stock Exchange, Case shares rose 75 cents yesterday, to $35.625, a 52-week high.

AMERICAN GREETINGS STILL WANTS TO BUY GIBSON

The American Greetings Corporation said yesterday that it still wanted to acquire Gibson Greetings Inc., a day after Gibson rebuffed its offer because of "overwhelming" antitrust implications. American Greetings is the nation's No. 2 maker of greeting cards. Hallmark Cards Inc., which has about half of the market is No. 1. American Greetings -- if combined with Gibson, the No. 3 maker -- would also have about 50 percent. Gibson shares rose $1.375, to $14.50, in Nasdaq trading. American Greetings shares climbed $1, to $30.75. Yesterday, Gibson, based in Cincinnati, said it would still talk with other buyers.

BOEING EXPECTS MAJOR JET ORDER FROM LEASING GROUP

The Boeing Company is expected to announce it has won a major order for jet planes from the International Lease Finance Corporation, a Boeing official familiar with the order said yesterday. International Lease, a unit of American International Group Inc. and the jet-leasing market leader, has been in negotiations with Boeing since last fall. Industry analysts expect the company to order 40 to 50 jets, mostly newer versions of the narrow-body 737's.

K-tel International Spinoff

K-tel International Inc. said today that its board had approved the company's proposed sale, for $25 million, of 13 units to a group of investors led by its chief executive, Mickey Elfenbein. The company, a wholesaler of recorded music, based in Plymouth, Minn., expects to complete the sale by year-end. It will sell three United States businesses and 10 foreign ones and will retain two United States units.
