Would-Be Buyer of The Post Accepts Restrictions on Assets

Lawyers for Steven Hoffenberg, the chairman of Towers Financial Corporation and the prospective buyer of The New York Post, agreed yesterday to permit the Securities and Exchange Commission to impose certain emergency controls on the operation of Towers, including stringent limits on his use of the company's assets. The settlement, approved by Federal District Judge Whitman Knapp at a hearing in Manhattan, also calls for the appointment of a trustee to monitor the company's books as it continues in operation, and to oversee an independent audit of the company. And it requires Mr. Hoffenberg to give the S.E.C. a separate accounting of his personal assets.

PERKIN-ELMER COMPLETES DEAL FOR APPLIED BIOSYSTEMS

The Perkin-Elmer Corporation, based in Norwalk, Conn., said it had completed its acquisition of Applied Biosystems Inc. through a stock swap valued at $365 million. Shareholders of Applied Biosystems will receive 0.678 share of Perkin-Elmer stock for each Applied Biosystems share. Perkin-Elmer shares closed up $1 yesterday, at $37, on the New York Stock Exchange.

GOODRICH PLANS STOCK OFFERING FOR GEON VINYL

The B. F. Goodrich Company said yesterday that it planned to spin off about half of its money-losing Geon vinyl division in a public offering of $270 million to $310 million. Goodrich said it would take a $200 million distribution from Geon and transfer about $30 million of debt to the unit before the offering. Goodrich may sell its remaining stake in Geon at a later date, the company said.
